ALDRIDGE PHOTOGRAPHIC SOCIETY

CONSTITUTION

Approved at AGM April 2010

Rule 1

The Society will be called the Aldridge Photographic Society, and membership will be open to all interested in photography.

Rule 2

Acceptance of membership of the society implies undertaking to comply with and abide by these rules.

Rule 3

The amount of the annual subscription and of the reduced subscriptions will be fixed for the following year at the Annual General Meeting. Members joining after Christmas will pay 1/2 of the full subscription. The subscription will be due at the first meeting of each season. The first member of a family to join the Society will pay the full subscription, and then his/her, wife/husband and children will be entitled to join on payment of a reduced subscription. Reduced subscription members under sixteen would not be able to vote at the A.G.M.

Rule 4

The officers will consist of a President, Vice-President, Secretary, Treasurer, Programme Secretary and Competition Secretary.

All officers are eligible for re-election each year.

Rule 5

The affairs of the Society will be managed by a Committee consisting of the Officers and at least three Members. All will be elected annually. (modified 09/10 AGM)

Rule 6

Applicants admitted for membership will be elected on payment of the normal subscription.

Their election will be announced to the current meeting of the Society.

Rule 7

Special General Meetings may be convened on a requisition signed by at least three full members, stating the object, and sent to the Secretary at least 21 days before the day proposed.

Rule 8

At Committee Meetings six will form a quorum, and at General Meetings 1/3 of the full membership.

Rule 9

The Secretary will keep all the Minutes of the Meetings and conduct the correspondence of the Society, except as directed by the Committee.

The Treasurer will collect all the monies due, after authorisation by the Committee.

At the close of each Society year, a balance sheet drawn up by the Treasurer and audited by one ordinary member will be presented for approval by the members.

Rule 10

A member may be expelled, or asked to resign from the Society at the decision of the Committee.

The Committee can request a member to appear before it, provided that where an accusation or charge is made the member will be given a full and reasonable opportunity to put forward a defence and bring witnesses at a later meeting.

Any member expelled or asked to resign will have the right of appeal to a Special General Meeting called for that purpose.

All Committee proceedings and those of any Special General Meeting called under this rule shall be treated as privileged and confidential.

Rule 11

Any member whose subscription is more than three months overdue will at the decision of the Committee be reminded, and if it is not paid within 28 days will be deemed no longer to be a member.

Rule 12

Visitors to normal meetings will be asked to pay a fee fixed at the last Annual General Meeting.

Children under 14 years of age, half price.

Any monies paid will be deducted from their subscription should they wish to join the Society later that season.

Rule 13

In the event of inaccuracies accruing and not provided in the foregoing rules the Committee shall have the power to deal with the same at its discretion.

Rule 14

In the event of dissolution of the Society the remaining assets of the Society will be donated to the Midland Counties Photographic Federation.

Rule 15

No alteration of or addition to these rules, nor any dissolution of the Society will be made except by the Annual General Meeting or a Special General Meeting called in accordance with Rule 7.
